1. Acceptance of Terms

By registering for, accessing, or using the DispatcherPro.ai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

If you do not agree to these terms, you must not use the Service.

2. Accounts & Security

You are responsible for maintaining the security of your account and password. DispatcherPro.ai cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

Admin Responsibility

Admins are responsible for all activity that occurs under their fleet's user accounts.

Credentials

You may not share login credentials. Each driver or dispatcher must have a unique ID.

Verification

We reserve the right to verify the DOT/MC number associated with your fleet.

3. Payment, Refunds & Upgrading

The Service is billed in advance on a monthly or annual basis and is non-refundable. There will be no refunds or credits for partial months of service.

Upgrading Prorated charge for the remainder of the cycle. Immediate
Downgrading New rate applies at the start of the next cycle. Next Billing Cycle
Cancellation Service continues until end of paid period. End of Cycle

4. Acceptable Use Policy (AUP)

You agree not to misuse the DispatcherPro.ai services. The following actions are strictly prohibited:

Illegal Cargo

Using the platform to dispatch, track, or manage illegal contraband.

Scraping

Accessing the Service via automated methods (bots/scrapers) without API permission.

Reverse Engineering

Attempting to reverse engineer or decompile the underlying source code.

Harassment

Using communication tools to harass drivers or third parties.

5. Intellectual Property & Data Rights

Your Data: You retain all rights to your data (driver logs, routes, customer lists). You grant us a license to use this data solely to provide the Service.

Our IP: The DispatcherPro.ai platform, including its algorithms, design, and code, is the property of DispatcherPro.ai.

6. Limitation of Liability & Disputes

The service is provided "as is". Our liability is limited to the amount you paid us in the 12 months preceding the claim.

Dispute Resolution Process

Phase 1: Informal Negotiation
Contact support to resolve the issue (30 days).
Phase 2: Mediation
Non-binding mediation via an agreed third party.
Phase 3: Arbitration
Binding arbitration in the jurisdiction of Delaware.

7. Termination

You are free to stop using our Service at any time. We reserve the right to suspend or terminate your access with notice if you breach these Terms.
